Terms of Service

Last updated: October 20, 2026

1. Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of the websites, waitlists, software, and other products and services provided by RavenThought Inc., a [INSERT STATE/COUNTRY OF INCORPORATION] corporation (“RavenThought”, “we”, “us”, or “our”) (together, the “Services”). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation, and “you” includes that organisation. If you do not agree to these Terms, do not use the Services.

2. Customer Agreements

Certain Services are provided under a separate written agreement, order form, statement of work, or product-specific terms (each, a “Customer Agreement”). These Terms apply together with any Customer Agreement. If they conflict, the Customer Agreement prevails.

3. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Services. The Services are intended for business use.

4. Waitlists and Early Access

Joining a waitlist or requesting early access does not create any obligation for you or for us. We decide at our discretion whether, when, and on what terms to offer access. Any pricing, discount, or other benefit described to waitlist members applies only as confirmed in a Customer Agreement.

5. Pre-Release Services

Some Services may be identified as beta, preview, early access, or otherwise pre-release (“Pre-Release Services”). Pre-Release Services may be incomplete, may contain errors, and may be changed, suspended, or discontinued at any time. Unless a Customer Agreement states otherwise, Pre-Release Services are provided without any service level commitment.

6. Accounts

You must provide accurate information when you create an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must notify us promptly at support@raventhought.com of any unauthorised access to or use of your account.

7. Customer Data

“Customer Data” means data that you or your users submit to the Services. As between you and RavenThought, you retain all rights, title, and interest in Customer Data. You grant us a limited licence to host, process, and transmit Customer Data only as necessary to provide and support the Services, to comply with law, and as otherwise set out in your Customer Agreement. You are responsible for the accuracy of Customer Data and for having all rights and consents needed to submit it.

Unless your Customer Agreement states otherwise, you may export Customer Data in a commonly used, machine-readable format at any time during your subscription and for 30 days after it ends, after which we may delete it.

8. Fees and Payment

Fees for paid Services are set out in your Customer Agreement or order. Prices shown on our websites are for information only and may change. Unless otherwise stated, fees are exclusive of taxes, which are your responsibility. Subscription terms, renewal, and cancellation are governed by your Customer Agreement. We may suspend paid Services if undisputed fees remain unpaid after notice.

9. Custom Development Services

Where we design or build websites, software, or other deliverables for you, the scope, fees, and acceptance are set out in a Customer Agreement. Unless that agreement states otherwise, ownership of the deliverables created specifically for you passes to you upon full payment. We retain ownership of our pre-existing materials, tools, and general know-how, and grant you a non-exclusive, perpetual licence to use any of them that are incorporated into your deliverables.

10. Acceptable Use

You must not:

  • use the Services in violation of any law or the rights of others;
  • send unsolicited communications or spam through the Services;
  • upload or transmit malicious code;
  • access or attempt to access systems, accounts, or data without authorisation, or probe, scan, or test the vulnerability of the Services without our written permission;
  • interfere with or disrupt the Services, or circumvent any rate limit, bot protection, or other security measure;
  • scrape the Services or submit forms by automated means; or
  • copy, modify, reverse engineer, resell, or create derivative works of the Services, except as permitted by law or by a Customer Agreement.

11. Intellectual Property

The Services, including all software, content, designs, and trademarks, are owned by RavenThought or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use our websites for their intended purpose. Sample data shown on our websites is fictional. No other rights are granted.

12. Feedback

If you provide suggestions, ideas, or other feedback about the Services, we may use it without restriction or obligation to you.

13. Third-Party Services

The Services may link to or interoperate with third-party websites and services. We are not responsible for third-party services, and your use of them is governed by their own terms.

14. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or if your use poses a risk to the Services or to others. Termination of paid Services is governed by your Customer Agreement. Sections 7, 11, 12, 15 to 17, 19, and 20 survive termination.

15. Disclaimers

EXCEPT AS EXPRESSLY STATED IN A CUSTOMER AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAVENTHOUGHT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAVENTHOUGHT’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO RAVENTHOUGHT FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) USD 100.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

17. Indemnification

You will defend, indemnify, and hold harmless RavenThought and its officers, employees, and agents from any third-party claims, damages, and costs, including reasonable legal fees, arising from your breach of these Terms, your Customer Data, or your violation of any law or the rights of a third party.

18. Changes

We may modify the Services at any time. We may update these Terms from time to time, and the “Last updated” date above shows when they were last revised. If we make material changes, we will notify you by email or by a notice on our website before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

19. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of [INSERT STATE/COUNTRY], without regard to its conflict of laws rules. The courts located in [INSERT CITY, STATE/COUNTRY] have exclusive jurisdiction over any such dispute, and each party consents to the personal jurisdiction of those courts. Nothing in this section deprives you of the protection of mandatory laws of the country in which you reside.

20. General

These Terms, together with our Privacy Policy and any Customer Agreement, are the entire agreement between you and RavenThought regarding the Services. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control.
